Open a Malta company, structured from Portugal.
Structuring, incorporation support and ongoing tax compliance for founders, consultants and investors based in Portugal - handled end to end by an MFSA-authorised Maltese Company Services Provider. One team for the set-up, the accounting and the shareholder refunds.
Malta taxes company profits at 35%, then refunds up to 6/7ths to qualifying shareholders on distribution - an EU-approved full-imputation system, not a special regime with quotas or expiry dates. We design the structure, the governance and the compliance calendar so the refund position is robust from day one.
A serious tax delta. Portugal taxes company profits at 19% IRC plus municipal and state surcharges. Malta’s full-imputation system can bring the effective rate on trading profits to around 5% for qualifying shareholders.
EU substance, not a brass plate. A real EU company with registered office, governance and filings run by a licensed provider - designed to stand up to Portuguese and EU scrutiny, not to hide from it.
One licensed team, end to end. Structuring memo, incorporation support, tax registrations, accounting, VAT and refund claims sit with one MFSA-authorised firm - no hand-offs between providers.
FAQ
How much does it cost to set up and run a Malta company?
Set-up and annual compliance are quoted as fixed fees before you engage, based on your activity and volumes. Registry and government charges depend on share capital. You see the full cost picture in the proposal - no hourly surprises.
Can I run a Malta company while living in Portugal?
Yes, but it must be structured properly. Portuguese management-and-control, permanent-establishment and CFC rules all matter. Genuine Maltese substance and governance are part of the design - this is exactly what the structuring memo addresses.
Is the 5% effective rate legal?
Yes. Malta’s full-imputation refund system is part of general Maltese tax law, applied since before EU accession and operating alongside EU anti-avoidance rules. The outcome depends on your structure, shareholders and compliance - which is why we document it before you commit.
Do I need to travel to Malta?
Usually not for the set-up itself. Some banks require a meeting, and board governance may involve Malta presence depending on the substance design. We flag this in the memo.
Can I move an existing Portuguese or foreign company instead?
Often yes - Malta allows redomiciliation (continuation) of companies from many jurisdictions, keeping legal personality intact. We assess whether continuation or a fresh entity is cleaner for your case.
